These Terms of Use (“Terms“) govern your access to and use of the services offered by Inspera Health LLC (“we” or “us“) via Inspera Health’s websites and apps (“Inspera Health” or the “Service“). By accessing or using Inspera Health, you agree to be bound by these Terms, our Privacy Policy, HIPAA Notice, and any other supplemental terms for the Service offerings you access (collectively, the “Agreement“).
1. OUR SERVICES
1.1. Our Service. Our mission is to help people lose weight and live healthier lives through behavior change. Our Service supports weight loss, improved fitness, sleep, and overall physical and mental well-being. Results may vary, and participation does not guarantee health improvement. To access most Service features, you must register for an account and have a valid subscription.
2. YOUR RESPONSIBILITIES
2.1.1 Your Responsibilities. You are responsible for all activity under your account. Each user must have their own account. Do not share your login credentials. Notify us immediately if you suspect unauthorized use of your account.
2.2. Social Features and Coaches. You can join group discussions with other Inspera Health participants, moderators, and Coaches. By joining, you agree to our Community Guidelines. Coaches are not licensed medical professionals and do not provide medical advice or treatment. Your interactions with Coaches do not create a clinician-patient relationship.
3. DISCLAIMERS
3.1. No Clinician-Patient Relationship. Inspera Health is not a licensed medical service provider. Our information is not medical advice and should not replace consultation with a qualified healthcare provider. DO NOT use Inspera Health during a medical emergency. CALL 911 IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY.
3.2. Disclaimers and Limited Liability. The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind. We do not guarantee that the Service will be uninterrupted, accurate, or error-free. We are not liable for any indirect, incidental, or consequential damages.
4. FEES & SUBSCRIPTION TERMS
4.1. Subscription Terms. If you purchase a monthly subscription, it will renew automatically at the end of each billing period unless you cancel through the portal at least three (3) days before renewal. Refunds are not provided for partial billing periods or if you select the single payment option. Some locations may have a “cooling-off” period.
4.2. Fees. Your subscription enrolls you in a recurring payment plan. You are responsible for third-party Internet charges and applicable taxes.
5. DISPUTE RESOLUTION
5.1. Dispute Resolution. Disputes not resolved informally will be settled by individual arbitration administered by National Arbitration and Mediation (“NAM“). YOU WAIVE THE RIGHT TO A JURY TRIAL OR CLASS ACTION.
5.2. Notifications and Revisions. We may notify you electronically and may revise these Terms. Material changes will be communicated and may require your acceptance. Continued use indicates agreement to the revised Terms.
6. YOUR CONTENT
6.1. Your Content. You retain ownership of the content you post, but grant us a non-exclusive, worldwide license to use, reproduce, display, and distribute it as needed for the Service.
7. INTELLECTUAL PROPERTY
7.1. Ownership. We own all rights to the Service, excluding your content. You may not obscure copyright or trademark notices.
7.2. Use of Content. Our content (e.g., documents, webinars, logos) is for personal, non-commercial use only. Do not modify, reproduce, or distribute it without permission.
7.3. Unacceptable Use. Prohibited behaviors include but are not limited to:
- Sending spam or unsolicited messages;
- Posting obscene, defamatory, or threatening content;
- Inciting discrimination, hate, or violence;
- Infringing on intellectual property rights;
- Uploading viruses or malware;
- Collecting or storing personal information of others;
- Impersonating others to mislead;
- Violating applicable laws;
- Attempting unauthorized access to accounts or networks.
7.4. Copyright. Site content is protected under copyright laws. Use is restricted to personal, non-commercial purposes unless authorized in writing. Inspera Health does not claim ownership of any materials you submit. However, by doing so, you grant Inspera Health a global, royalty-free license to use, reproduce, and publish.
8. LIABILITY LIMITATION & INDEMNIFICATION
8.1. Limitation of Liability. We are not liable for indirect or special damages. Our maximum liability is $100 or the amount you paid in the last 12 months, whichever is greater.
8.2. Indemnification. You agree to hold us harmless from claims arising from your content, misuse of the Service, or legal violations. You agree to indemnify us and our team (officers, shareholders, partners, attorneys, and employees) from any liability, loss, damages, claims, and expenses, including attorney’s fees, related to your violation of this Agreement or use of the Service.
9. TERMINATION
9.1. Termination by Us. We may terminate access at any time.
9.2. Termination by You. You may terminate by canceling your subscription and deleting your account. No refunds are provided upon termination unless required by law.
10. THIRD PARTIES
10.1. Payment Processing. We use third-party providers to process payments. You authorize us to share your information as necessary.
10.2. Third-Party Services. You may be subject to additional terms when using services provided by third-party partners.
11. GENERAL PROVISIONS
11.1. Effective Date. These Terms are effective as of the date listed below.
11.2. Force Majeure. We are not liable for delays due to events beyond our control.
11.3. Assignment. You may not assign this Agreement. We may assign without restriction, but we will notify you.
11.4. Governing Law. These Terms are governed by Illinois law. Disputes will be heard in DuPage County.
11.5 Choice of Language. This Agreement and all related documents will be written in English.
11.5. Employer Access. If your access is through a third party (e.g., employer), additional terms may apply.
11.6. Notices. Notices sent to your provided email address are deemed delivered.
11.7. Waiver. A failure to enforce a provision is not a waiver of future enforcement.
11.8. Severability. If part of these Terms is held invalid, the rest remains enforceable.
11.9. Breach of Terms. An alleged waiver of any breach of these Terms and Conditions does not imply a waiver of future breaches. Printed versions of these Terms and Conditions and electronic notices from Inspera Health are admissible in legal proceedings to the same extent as other business documents.
11.10. Relationship. This Agreement does not create a joint venture, partnership, or employment relationship.
11.11. California Consumer Complaints. Following California Civil Code §1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Service of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210
11.12. External Links. We are not responsible for third-party websites linked from our site.
11.13. International Use. You must comply with local and U.S. export laws.
11.14. Export Restrictions. You may not use our services in violation of export laws or sanctions.
11.15. Personal Data. We take steps to protect your data, but we cannot guarantee its security on open networks.
11.16. Submissions. Any communication or material you transmit to Inspera Health becomes the property of Inspera Health and may be used for any purpose, including reproduction, disclosure, and marketing. Inspera Health may also gather and use certain limited information about you and your website usage for any purpose it deems appropriate
11.17. Amendments. We reserve the right to update or amend these Terms and Conditions at any time, and your continued use of the Service following any changes shall be deemed to be your acceptance of such change, so it is your responsibility to check the Terms and Conditions regularly for any changes
11.18. Entire Agreement. This Agreement supersedes prior agreements. If conflicts arise with supplemental terms, these Terms will govern.
